Terms and Conditions
Version 1.4 · effective from the date of publication of this version on recenzik.cz.
1. Who provides the service
The Recenzík service is provided by Bc. Xinchi Jiang, independent contractor (OSVČ), ID 21591202, with registered office at Jindř. Lukeše 244, 273 08 Pchery, Czech Republic (hereinafter referred to as the "provider" or "we").
The provider is not a VAT payer. All prices listed in these terms are final.
Contact email: partner@recenzik.cz
Recenzík is a brand of the provider, not a separate legal entity. Recenzík is not affiliated in any way with Google LLC or its affiliates.
2. Who the service is for
The service is intended exclusively for entrepreneurs — legal entities and natural persons operating a business, who order it within the scope of their business activity (hereinafter referred to as the "client" or "you").
We do not provide the service to consumers. Consumer protection provisions therefore do not apply to the contract under these terms.
Only a person authorized to do so may order and approve on behalf of the client. If we have doubts about authorization, we may request proof before starting the service.
3. What the service is
Recenzík is a managed public reputation care service. We take care of your Google reviews and how your company replies to them.
Specifically:
- we monitor reviews on one agreed Google profile,
- we prepare replies in a style agreed with you in advance,
- every reply is checked by a member of the Recenzík team before sending or publishing,
- the reply gets onto Google in a way that corresponds to the phase of the service and the agreed mode under Art. 3.2.
Every reply is prepared and checked by a member of the Recenzík team before publication. Technical tools, including the language model of a subprocessor, assist us in the preparation. Which data is processed and to whom it is transferred is described in the Data Processing Agreement and Subprocessors documents.
The contracting parties are you and the provider under Art. 1. Subprocessors are our suppliers, not providers of the service to you.
3.1 What the service explicitly is not
- We do not need your Google account password or 2FA code and will never ask for either. If we agree that we will publish replies, you add our dedicated Google Account to the relevant Google Business Profile as a Manager through Google's official mechanism. You remain the profile's owner and in control; we do not ask for the Owner role. You can remove access at any time.
- We do not publish any reply automatically or without review by a member of the Recenzík team. Access to a profile is not, by itself, authorization to publish. We manually publish replies on behalf of your company only in an agreed mode and within the written authorization under Art. 3.2.
- We never consider silence as approval of a reply or as authorization to publish.
- We do not guarantee an improvement in rating, number of reviews, search ranking, or the removal of a negative review. The platform operator, not us, decides on the content and availability of reviews.
- We do not remove, modify, or delete customer reviews, and we do not create fake reviews.
3.2 Who publishes the replies
In the pilot and during continuous care, we agree in writing who publishes replies and under which mode. Modes A and B may both be agreed for different replies if the written agreement clearly defines their scope. The mode may be stated in an offer you accept in writing or in another clear written agreement.
- Mode A — I APPROVE: We send you each draft for approval. We publish it manually only if you have given us written authorization for this mode, explicitly approved the exact wording of that reply, and we have verified access to the correct profile. Your approval covers the exact wording; it does not replace written authorization to publish. Without access, we email you the approved text for you to post.
- Mode B — MANAGE IT FOR ME: The written authorization identifies the profile, rules for routine replies, and cases we must refer to you. Within those limits, we prepare, review, and manually publish routine replies without approval of each individual reply. We refer sensitive or exceptional cases to you and do not publish them without your explicit written instruction. This mode requires verified access. If access is unavailable, we email you the text for you to post, or we may agree on another mode in writing.
- Client publishes: We prepare drafts and, where applicable, email you the exact wording after approval. You or your authorized person post it on Google. This also applies if valid authorization is missing, you do not grant access, access is unavailable or you remove it, and we do not agree on another process.
Written authorization to publish (the "authorization") must identify the specific Google profile, scope of permission, communication rules, and cases we must always refer to you. For Mode A, the authorization may be part of an accepted offer if it expressly says that we publish replies you approve; your approval of each exact wording is then a separate instruction about that reply's content. For Mode B, the authorization defines the routine replies we may publish without individual approval.
Access to the profile and the Manager role are not, by themselves, authorization. We publish replies only when a written agreement specifies the mode, we have valid authorization, and we have verified access to the correct profile; in Mode A, we also need your explicit approval of the exact wording. Telephone consent or silence do not replace these conditions.
You may revoke the authorization in writing at any time and remove access in the profile settings at any time. From receipt of the revocation, or once we discover that access has been lost, we will not publish further replies. We may temporarily email you texts for you to post. To resume our publishing, access must be restored and verified and valid written authorization must remain in place. A change of mode applies prospectively. Replies already published remain on the profile; at your request, we will modify or remove any reply we published without undue delay and without charge if we have the necessary access. Otherwise, you can do so yourself.
4. How the contract is formed
- We will contact you and agree on whether we should send you an offer.
- We will send you a specific written offer with the scope, price, duration, and profile designation.
- The contract is formed when you reply to this offer in writing and unequivocally — typically with the word "I agree" in the same email thread.
- We will issue an advance invoice (proforma).
- After the payment is credited, we will confirm with you exactly which Google profile it concerns.
- The service begins on the following business day after profile confirmation (hereinafter "Day 1").
Telephone consent is not enough to activate the service. We consider a verbal "yes" on a call only as an interest in receiving an offer. Without written consent, we will not start the service and will not charge you anything.
Your "I agree" is the acceptance of a commercial offer. It is not a consent to the processing of personal data under GDPR, and you are not giving or replacing any such consent by it.
We will clarify an unclear or incomplete answer before starting. Payment itself or silence do not replace written consent.
5. Pilot: scope and price
- Duration: 30 calendar days from Day 1 inclusive
- Price: 490 CZK one-off, paid in advance
- Scope: 1 Google profile
- Renewal: No automatic renewal
The pilot ends on its own after 30 calendar days. You do not have to terminate, cancel, or unsubscribe from anything. No automatic payment will occur.
The pilot includes: Reputation Snapshot (an overview from a sample of reviews with 3 selected reviews and draft replies) within 3 business days from the start of the pilot, tone calibration, max. 10 priority historical unanswered reviews including 3 from the Snapshot, and max. 20 new reviews with text during the pilot.
At your request, Mode A or Mode B, or both for defined replies, may be agreed in writing during the pilot under Art. 3.2. Manual publication by Recenzík during the pilot has no separate surcharge. The same written authorization and verified access requirements apply; Mode A also requires your explicit approval of each exact reply. If authorization or access is missing or revoked, we email you the text and you publish it yourself. If we have not agreed in writing that we publish, you publish the replies.
We check the profile every business day. We prepare drafts generally within 2 business days of detecting the review. This is an operational standard, not an SLA or contractual guarantee of response time. In Mode A, we send drafts for approval; in Mode B, we act under the authorization and refer reserved cases to you for a decision. The written mode agreement specifies who publishes. Around the 25th day, we will send you a brief summary without a continuation offer.
A larger historical backlog will be priced individually according to scope and complexity. It is a separate one-off project outside the scope of the pilot; scope and price are agreed in advance.
6. Payment terms
- The advance invoice is payable within 7 days of issue.
- If we do not register the payment after 7 days, we will send you one non-binding reminder.
- If we do not register the payment within 14 days, we will close the order without further ado and will not activate the service. We will not charge or recover anything from you.
- Payment is made by bank transfer to the bank account listed on the advance invoice.
- A tax document will be issued to you after the payment is credited.
Payment by itself does not start the service. The service is started only by the confirmation of the Google profile according to Art. 4.
7. Cancellation and refunds
- Before Day 1 you can cancel the order at any time and we will refund 100% of the paid amount. Just write to us.
- From Day 1 the pilot price is non-refundable. You can terminate the pilot at any time and we will immediately stop preparing drafts, but the paid amount is not refundable.
This does not affect our liability under Art. 10 if we do not provide the service at all or provide it defectively.
If the provider terminates the service of their own accord without a reason on your side, we will refund a proportionate part of the price for the unused days.
8. Continuation after the pilot
Continuation is always your explicit decision.
- After the pilot ends, we will send you a summary and ask if you are interested in continuing. Interest alone does not activate continuation.
- Continuous care is provided for an individually agreed price starting from 1,490 CZK per month for one Google profile.
- The specific price, scope of service, and mode under Art. 3.2 are always stated in the offer, which you explicitly accept in writing before starting continuous care. The offer also states the start date. A telephone "yes" or silence are not acceptance of the offer.
- No annual commitment. The service runs month by month.
- You can terminate continuation at the end of any paid month; just write to us before the start of the next period.
- If you do not contact us, the service simply ends. We never interpret silence as an order.
8.1 Price of continuous care and its changes
When determining the price, consideration is given mainly to the long-term usual volume of new reviews and the specific requirements for the scope of care stated in the offer.
A one-time fluctuation in volume does not automatically change the price. We do not charge automatic surcharges for exceeding the volume or retroactive top-ups.
We can only propose a change in price or scope, via a new offer sent at least 30 days before the period from which the change is to apply. The change is not automatic. It can only apply for the future, from the period stated in the new offer, and only after your explicit acceptance. Silence or continued use of the service are not consent to the change.
If you do not accept the new offer, the existing price and existing scope remain in place until any proper termination of the service. We will not unilaterally reduce the scope just because you rejected the new price.
9. Your cooperation
In order for us to provide the service, we need from you:
- the designation of one specific Google profile,
- a contact person who will approve drafts or decide on cases we submit to you,
- an agreement on the tone of the replies and what we should not open in the replies,
- verified information that we can refer to in the replies (e.g., opening hours or parking),
- for publishing replies by us during the pilot or continuous care: a written agreement on the mode, authorization, and verified access to the profile under Art. 3.2; in Mode A, explicit approval of the exact wording of each reply is also required.
You are responsible for the truthfulness of the materials you provide us. We do not insert unsubstantiated claims into replies.
If we do not receive the materials needed to prepare drafts, we cannot prepare them. Missing authorization or access by itself does not prevent us from preparing drafts, but it prevents us from publishing them. The pilot period does not restart or extend on this account unless we explicitly agree otherwise.
10. Liability
We are responsible for preparing drafts and replies with professional care, in the agreed style, and based on the materials you provide us. If we publish replies, we are also responsible for human review, following the agreed mode, and acting within the limits of your authorization. In Mode A, we publish only the exact wording you explicitly approved.
We are not responsible for:
- the truthfulness and completeness of materials and verified facts you provided. This does not affect our responsibility for publishing wording other than what you approved, omitting human review, or acting outside your authorization,
- the act of publishing a reply that you posted on Google yourself,
- decisions, outages, rules, and changes on Google's side,
- the content of third-party reviews,
- indirect damage, lost profits, or loss of reputation.
Total compensation for damage from one contract is limited to the amount you actually paid us under that contract. This limitation does not apply to damage caused intentionally or by gross negligence.
11. Confidentiality
We use the materials you provide us for the order only to provide the service to you. We do not share them with other clients and do not use them for third-party orders.
The processing of personal data is described in separate documents Privacy Policy and Data Processing Agreement.
12. Changes to terms
We may change these terms for the future. An already concluded contract is governed by the wording effective on the day you accepted the offer.
We will agree with you in advance on a change that would affect a running service. Without agreement, we do not unilaterally change a running pilot or a running month of continuation.
13. Applicable Law
The contract and these conditions are governed by the laws of the Czech Republic. Disputes that cannot be resolved by agreement will be decided by the materially and locally competent courts of the Czech Republic.
